Mindsetx LLC ("we," "us," or "our") operates a health, wellness and personal development app, along with an associated website at https://mindsetx.health (the "Website").
The Protocol is fully decentralized, open-source, and non-custodial. Interactions occur directly with smart contracts on public blockchains via your self-custodied wallet. We do not hold custody of your assets, private keys, or funds.
By accessing or using the Services, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.
### 1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You represent that you are not subject to sanctions or located in a restricted jurisdiction (e.g., countries embargoed by the US, UK, or EU).
Certain features may be unavailable in restricted jurisdictions due to regulatory requirements.
### 2. Description of Services
The Protocol enables users to trade perpetual futures contracts in a decentralized manner. Key features include:
- Day-one liquidity via third-party LPs/AMMs
- Rules-Based Leagues, Collaborative Pods, Radical Transparency, Honest Volume detection, and RWA/Alpha Yield Enhancement
- Perps Copilot Dashboard for risk monitoring
The Website and dashboards serve as interfaces to interact with the Protocol. We may update, modify, or discontinue features at any time.
### 3. User Responsibilities
- **Wallet and Security**: You are solely responsible for securing your wallet, private keys, and seed phrases. We do not store or have access to them. Lost keys mean permanent loss of assets.
- **Transactions**: All on-chain transactions are irreversible. You bear all risks, including gas fees, slippage, and smart contract interactions.
- **Compliance**: You agree to comply with all applicable laws, including tax reporting. You will not use the Services for illegal activities (e.g., money laundering, fraud).
### 4. Risks
Cryptocurrency trading and DeFi involve substantial risks, including:
- **Market Risk**: Extreme volatility may result in total loss of funds.
- **Smart Contract Risk**: Bugs, exploits, or vulnerabilities in the Protocol or third-party contracts could lead to loss of funds. The Protocol will undergo audits, but no guarantees are provided.
- **Liquidation Risk**: Leveraged positions may be liquidated, resulting in partial or total loss.
- **Regulatory Risk**: Changes in laws may affect access or asset values.
- **No Insurance**: Funds are not insured by FDIC, SIPC, or similar.
You acknowledge these risks and trade at your own discretion. We provide no financial, investment, or legal advice.
### 5. Prohibited Activities
You agree not to:
- Engage in wash-trading, market manipulation, or front-running
- Use bots or scripts to exploit the Protocol
- Attempt to hack, DDoS, or interfere with the Services
- Violate intellectual property rights
- Provide false information or impersonate others
We may monitor on-chain activity for abuse (consistent with Honest Volume moat) and restrict access if violations occur.
### 6. Intellectual Property
The Protocol's smart contracts are open-source (license details on GitHub when available). The Website, branding, dashboards, and documentation are owned by us. You may not copy, modify, or create derivatives without permission, except for personal use.
### 7. Third-Party Services
The Services integrate third-party LPs, AMMs, oracles, and tools (e.g., Chainalysis for sanctions screening). We are not responsible for their performance or security.
### 8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee uptime, error-free operation, or that the Protocol will meet your expectations.
### 9. Limitation of Liability
To the fullest extent permitted by law, we, our affiliates, and team members shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services—even if advised of the possibility.
Our total liability shall not exceed $100 USD.
### 10. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
### 11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the British Virgin Islands (without regard to conflict of laws).
Any disputes shall be resolved through binding arbitration in the British Virgin Islands under BVI IAC rules, except for injunctive relief.
No class actions permitted.
### 12. Changes to Terms
We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be posted on the Website with notice.
### 13. Termination
We may restrict or terminate your access at any time for violations or operational reasons.
### 14. Miscellaneous
- These Terms constitute the entire agreement.
- If any provision is unenforceable, others remain valid.
- No waiver of rights unless in writing.
